About

David represents domestic and international clients in federal, state, and local tax matters. He advises public and private corporations, partnerships, funds, tax-exempt organizations, and individuals on various tax matters, including those arising in taxable and tax-free mergers and acquisitions, divestitures, restructurings, spin-offs, redemptions, and liquidations, formation, operation, and acquisition of limited liability companies, partnerships, and Subchapter S corporations, real estate transactions, and financings.

  • David provides tax counsel to U.S. and non-U.S. businesses and private clients on inbound and outbound international tax matters. He also has experience advising private equity and hedge fund sponsors on the tax aspects of fund formation as well as representing institutional investors in connection with joint ventures and other investments.

    David has represented taxpayers in tax controversies, including civil audits, appeals, and collections matters. His practice also includes advising tax-exempt organizations in joint ventures with for-profit businesses and assisting nonprofit corporations with obtaining and maintaining tax-exempt status. David has experience advising clients on limited liability company operating agreements, equity incentive agreements, and similar equity-related documents.

    David is also a certified public accountant in New York (inactive).
