Kelsey Bond is an accomplished litigator whose practice focuses on advising clients regarding M&A disputes and issues, including related to Transactional Liability Insurance, fraud, breaches of representations and warranties, and earnout and other contingent consideration disputes.
Kelsey has significant experience in Transactional Liability Insurance and assists insurers with analyzing coverage and resolving claims related to representations and warranties insurance (“RWI”) policies. This includes her tenure as an in-house attorney for Travelers Insurance, where she handled and resolved all manner of complex, high-severity RWI matters.

Kelsey also has extensive experience representing private equity clients and their portfolio companies in various post-acquisition disputes including fraud, breaches of representations and warranties, and contingent consideration disputes. She possesses substantial litigation experience, appearing pro hac vice in Delaware and New York courts, and has successfully litigated many M&A disputes past the dispositive motion stage. Kelsey’s experience resolving post-M&A disputes for transacting parties, both in and out of court, informs her pragmatic and data-driven approach to facilitating the successful RWI claim resolutions.

Represented a private equity portfolio company in achieving a multi-million dollar trial victory in the District of Delaware, on behalf of the plaintiff for claims of fraud and breach of contract arising out of a stock purchase agreement.
Represented a private equity purchaser in its eight-figure post-acquisition dispute based upon fraudulent misstatements of the target company’s financial information. After extensive discovery, the matter settled on the eve of trial.
Defended a former-CEO against claims of fraud and breach of contract asserting nine-figure damages in the Delaware Court of Chancery stemming from a failed merger of two industry-leading companies resulting in a confidential post-summary judgment settlement.
Represented a purchaser of a business in connection with fraud and breach of contract claims resulting in a confidential settlement after prevailing on an issue of first impression in the Delaware Court of Chancery related to spoliation of evidence.
Represented a purchaser of a business in connection with its eight-figure arbitration award before a neutral accountant in connection with an earn-out dispute.
Represented an individual investor in a books-and-records dispute related to the sale of a privately held company resulting in a confidential settlement.
