Rich Kaye is a member of the Corporate Department and the International Trade practice.

Rich’s corporate and commercial practice focuses on domestic and cross-border transactions, entity structuring, investments; complex commercial contracts; real estate; manufacturing, ESG, franchising; agency and distribution agreements.

  • He regularly advises his clients with respect to certifications, joint ventures and participation arrangements relating to certified entities, such as DBEs, WOSBs and DVBEs. Rich assists nonprofit corporations with IRS application filings and advises nonprofits on continuing compliance. Rich routinely acts as the outside general counsel to his diverse client base.

    Outside of his work in the U.S., Rich handles complex acquisitions, dispositions, investments, real estate transactions, franchise development and regulation, construction, and other international projects. Rich began his professional career in West Africa followed by 5 years in Paris. Rich has been representing clients on China related matters since 1989,

    In the community, Rich served on the Advisory Board of Metro Atlanta Chamber, as a member of the Georgia Economic Developers Association and has held positions on the boards of the French American Chamber of Commerce and Construction Financial Management Association. He has also served as the chair of the American Bar Association’s International Commercial Transactions, Franchising and Distribution Committee and International Section of the Atlanta Bar Association.

    Rich earned his J.D. from the Emory University School of Law in 1983. He earned his B.A. from the State University of New York at Stony Brook in 1979 and also studied philosophy and literature at the Université de Paris IV, Sorbonne.

    In addition to being admitted to practice in the state of Georgia, Rich is admitted to practice before the Georgia Supreme Court, the Court of Appeals of Georgia, the U.S. District Court for the Northern and Middle Districts of Georgia and the U.S. Court of Appeals for the Eleventh and Third Circuits.
