Mr. Szuch focuses his practice on complex business transactions and corporate matters. He brings extensive experience negotiating and drafting corporate and commercial agreements across a wide range of industries and deal sizes. Over more than 25 years, he has developed a reputation for crafting practical, business-minded solutions to legal and operational challenges.

  • He also advises on mergers and acquisitions, formation of partnerships and special purpose entities, real estate leasing and purchase and sale transactions, banking and finance matters, licensing and intellectual property, venture capital transactions, and corporate restructuring and risk management.

    Mr. Szuch is recognized as a versatile corporate and transactional attorney with particular strength in middle-market M&A, emerging company representation, complex commercial contracting, and corporate governance.

    He represents a diverse client base across multiple industries, including consumer products, technology, manufacturing, entertainment and sports media, real estate development, financial services, and start-ups.

    In addition to his substantive work, Mr. Szuch regularly serves as a “quarterback” on projects, helping drive efficiencies and ensuring clients benefit from Pierson Ferdinand LLP’s diverse group of subject-matter expert partners across the country and around the world.

    Mr. Szuch is a recipient of the Evans Scholarship (1989-1993), a four-year full scholarship to the University of Michigan sponsored by the Western Golf Association – Evans Scholars Foundation. He served as a Director of the WGA-ESF (2007-2018), supporting fundraising and development activities, and currently serves as Director Emeritus (2019-present).

    He is an avid golfer and enjoys staying active and traveling with his wife to sunny places. Born and raised in the Detroit area, Mr. Szuch now resides in the Charleston, South Carolina area.

Mr. Szuch has significant experience structuring and documenting complex transactions, including asset purchase agreements, equity purchase agreements, and mergers involving both private and public companies. His work includes preparing sophisticated term sheets, leading multi-party negotiations with opposing counsel and key stakeholders, drafting ancillary closing documents (including bills of sale and assignment agreements), and managing comprehensive due diligence across legal, financial, and operational workstreams.

Corporate Restructuring & Reorganization

A substantial portion of his practice involves complex reorganization projects, including multi-entity restructurings, corporate conversions, and governance harmonization across domestic and international subsidiaries. He develops restructuring presentations and tailored risk-management strategies for boards and executive teams and leads the seamless implementation of approved reorganization plans, often under tight timelines.

Venture Capital & Investment Transactions

Mr. Szuch’s experience spans the full spectrum of early-stage and growth-stage financing, including convertible note documentation, SAFE instruments, seed and Series A investment documents, subscription agreements, private placement memoranda, and investor side letters. He also advises founders and investors on preemptive rights, dilution analysis, cap table management, and valuation considerations in connection with sophisticated investment structuring.

Supply Chain & Manufacturing Agreements

He has extensive experience negotiating and drafting complex commercial supply agreements, including manufacturing supply agreements, master supply agreements, and repackaging supply agreements for both domestic and cross-border arrangements. Mr. Szuch’s work emphasizes clear, client-protective provisions addressing indemnification, warranties, intellectual property ownership, quality control standards, and strategic risk allocation.

Entity Formation & Governance

His practice reflects deep experience in entity formation across multiple jurisdictions, including preparing articles of incorporation/organization, operating agreements, bylaws, stockholders agreements, and related resolutions for ventures ranging from single-member LLCs to multi-tiered holding company structures. He also advises on nuanced governance and change-of-control issues such as deadlock resolution, buy-sell provisions, fiduciary duties, and management-control structures.

He prepares and negotiates financing documentation, including pledge and security agreements, intercreditor arrangements, legal opinions, secretary's certificates, and corporate resolutions in connection with bank financing transactions, as well as loan term sheets, promissory notes, and subordination agreements.

Mr. Szuch negotiates a wide array of commercial agreements, including master services agreements, consulting agreements, staffing agreements, distribution agreements, specialized service agreements, and private label arrangements. His work encompasses negotiating and drafting technology licensing agreements, end-user license agreements (EULAs), terms of service, licensing arrangements, and service level agreements. He counsels clients on intellectual property ownership and protection strategies, technology transfer arrangements, open source compliance, the unique regulatory and operational considerations associated with cloud-based and subscription technology models and data privacy matters.
