About

Robert Ellerbrock focuses his practice on executive compensation, employee benefits, and ERISA. He regularly advises clients concerning qualified retirement plans (401(k), defined benefit, 403(b)), non-qualified plans, fringe benefits, health and welfare benefits, Affordable Care Act compliance, and HIPAA. He advises clients on a full range of equity compensation issues, including stock options, restricted stock and restricted stock units, stock appreciation rights, and phantom equity.

  • His practice includes working with clients regarding executive compensation packages and advising on the tax law requirements associated with executive compensation such as 409A. Robert also has experience with the tax rules applicable to deferred compensation arrangements of tax-exempt and governmental organizations.

    Additionally, Robert advises clients on all facets of employee benefits and executive compensation issues in connection with M&A transactions. This includes advising through the due diligence process to post-transaction integration.

Representative Experience

  • Design and evaluate structure of equity compensation plans (including phantom equity) for employers.

  • Advise start-ups who need to access capital in a tax-efficient manner to fund their operations of potential options.

  • Design and evaluate designs of 401(k) and 403(b) plans, profit-sharing plans, employee stock ownership

  • Advise companies and individuals on the tax and corporate aspects of 409A arrangements, including supplemental executive retirement plans, performance-based programs, and other non-qualified deferred compensation arrangements.

  • Review private equity disclosure documents related to pension investors.

  • Successfully resolve issues for clients with the Internal Revenue Service, Department of Labor, and Pension and Benefit Guaranty Corporation.

  • Draft benefit plan documents and amendments to ensure ongoing regulatory compliance with applicable regulations.

  • Counsel plan fiduciaries on their ERISA Title I responsibilities.

  • Regularly advise employers, consultants, and others regarding compliance with the Affordable Care Act.

  • Advise corporations involved in mergers and acquisitions regarding employee benefits and executive compensation matters.

  • Advise companies regarding design options and tax consequences of employment agreement terms.

  • Advise companies and draft severance agreements and separation plans.

  • Counsel employers involved in various labor and employment matters, including withdrawal liability/multiple and multiemployer pension plans, employee benefit aspects of collective bargaining, employment and compensation agreements, separation agreements, COBRA, and severance packages.

  • Provide research and analysis of complex tax matters including corporate mergers, plan terminations, IRS and DOL audits.

  • Review and analyze vendor agreements and negotiate terms when necessary.
