Overview

The Pierson Ferdinand Tax Team has extensive experience in all tax-related matters, offering comprehensive solutions to a wide range of business tax issues including corporate tax, mergers and acquisitions, partnership/LLC matters, encompassing complex LLC operating agreements, real estate transactions, executive compensation, non-profit organizations, and international tax considerations, such as transfer pricing compliance.  We also have a robust wealth planning practice, dealing with tax issues related to estates, including international tax aspects, and provide representation for nonprofit organizations seeking tax-exempt status from the Internal Revenue Service.

Capabilities

Within our real estate tax practice, we focus in tax credits related to affordable housing and historic building rehabilitation. Our partner excel in advising clients on transactions that involve tax-exempt investors, addressing distinct tax and ERISA concerns, including issues related to unrelated business taxable income and “plan assets,” and are also well-versed in transactions involving charitable donations of real property.

The Tax Team’s services include:  assisting sellers in the sale of online learning companies concerning gain classification (ordinary income versus capital gain) and income recognition issues; advising foreign-owned companies on the federal income tax treatment of dividend payments to a foreign parent; providing guidance on deferral of like-kind exchanges of real estate; reviewing tax consequences and structuring various mergers, acquisitions, and consolidations; advising individual clients on estate, gift, and generation-skipping tax aspects of estate planning; and representing publicly-traded banks in connection with investments and syndication in affordable housing, resulting in low-income federal tax credits.

Our Tax Team brings together a wealth of experience and a broad range of capabilities to address the tax-related needs of our diverse client base, offering practical solutions to complex tax matters. As and when required, our Tax Team also litigates these matters.
